Terms of Service

These Terms of Service ("Terms") govern your use of Provenza, the software available at provenza.bio and its related applications and services (together, the "Service"). Provenza is operated by Provenza, Inc. ("Provenza," "we," "us," or "our"). Please read these Terms carefully. They form a binding agreement between you and Provenza.


1. Acceptance of Terms

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you confirm that you have the authority to bind that organization, and "you" refers to both you and that organization. If you do not agree to these Terms, do not use the Service.


2. Description of the Service

Provenza is an electronic lab notebook and protocol versioning tool. It lets you capture protocols, reagents, lots, and deviations by voice or text, structures that information into steps and conditions, versions every change, and helps you rebuild a rerunnable protocol when results drift.

Provenza is a software tool only. It is important that you understand the following:

You are responsible for confirming that your use of the Service meets the requirements of your institution, funder, or regulator.


3. Accounts and Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. You must provide accurate account information and keep it current. You are responsible for the security of your account credentials and for all activity that occurs under your account. Tell us promptly at legal@provenza.bio if you suspect any unauthorized use.

One account is for one person. Do not share a single login across multiple people. On paid plans, each individual who uses the Service needs their own seat.

5. Your Content and Ownership

You own your data. Protocols, reagent records, notes, files, and other content you enter into the Service ("Your Content") remain yours. We do not claim ownership of Your Content.

You grant us a limited license to host, store, process, transmit, and display Your Content only as needed to operate, secure, and support the Service for you. We do not sell Your Content, and we do not use Your Content to train shared or third-party machine learning models.

We own the Service itself, including its software, design, and trademarks. Nothing in these Terms transfers ownership of the Service to you.

You are responsible for the accuracy and legality of Your Content and for keeping your own backups of anything critical to your work.


6. Free Tier Limits

The Researcher plan is free and includes one user and up to 25 experiments. It is intended for individual evaluation and light use. Free accounts may have limits on storage, features, and support, and we may change those limits with reasonable notice. If you need more than one user or more than 25 experiments, you can upgrade to a paid plan at any time.


7. Paid Plans and Billing

We offer the following paid plans:

Unless your order states otherwise, paid plans are billed in advance and renew automatically for the same term. Fees are stated in US dollars and are exclusive of taxes, which you are responsible for. Charges are non-refundable except where required by law or expressly stated in a signed Org agreement. If you add seats mid-term, we may bill the added seats on a prorated basis. We may change plan pricing on renewal with at least 30 days notice.

If a payment fails or an account becomes past due, we may suspend paid features until the balance is resolved.


8. Cancellation and Data Export

You can cancel a paid plan at any time from your account settings or by contacting us. Cancellation takes effect at the end of your current billing period, and you keep access to paid features until then. We do not provide partial-period refunds unless required by law.

Your data remains yours. Before you cancel, and for 30 days after your paid plan ends, you can export Your Content, including protocols and version history, in standard formats such as ELN-compatible and common regulatory export formats. After that 30-day period, we may delete Your Content from active systems in the normal course of operation. If you need help exporting, contact us and we will assist.


9. Availability and Support

We work to keep the Service available and reliable, but we do not guarantee that it will be uninterrupted or error-free. We may perform maintenance, and we will give reasonable notice of planned downtime where we can.

Support is provided by email. Researcher plans receive community and standard email support. Lab plans receive priority email support. Org plans receive the support terms set out in their agreement. Specific uptime commitments apply only if they are stated in a signed Org agreement.


10. Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements, that results, scores, or flags it generates will be accurate or complete, or that your experiments will reproduce.

You remain solely responsible for your scientific work, your safety practices, and your compliance obligations. Provenza is a record-keeping tool and is not a substitute for professional judgment.

To the fullest extent permitted by law, Provenza will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, revenue, or research results, arising out of or related to your use of the Service. Our total liability for any claim arising out of or related to these Terms or the Service will not exceed the amount you paid us for the Service in the 12 months before the event that gave rise to the claim, or $100 if you have paid us nothing.

Some jurisdictions do not allow certain disclaimers or limitations, so some of the above may not apply to you.


11. Changes to These Terms

We may update these Terms from time to time. If we make a material change, we will give reasonable notice, for example by email or an in-product notice, before the change takes effect. The "Last updated" date at the top shows when these Terms were last revised. If you continue to use the Service after a change takes effect, you accept the updated Terms. If you do not agree, stop using the Service and you may cancel as described above.


12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You and Provenza agree that the state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Service, except where applicable law gives you the right to bring a claim elsewhere.
